DAO Constitution of Ciudad de Luz 13:20

Preamble

We, the stewards of Ciudad de Luz 13:20, establish this DAO Constitution to uphold our sacred mission: to regenerate land, empower community, and honor the eternal connection between people and nature.

This DAO exists to co-govern the ecological sanctuary and spiritual settlement of Ciudad de Luz 13:20 through ethical, transparent, and regenerative principles.

Our governance is aligned with the UCADIA Global Constitution and Natural Law, grounding CDL1320 in universal principles while expressing them through local community practice.

The DAO governs, and Fedimint Guardians execute. Sovereignty rests with the community; operational security, privacy, and resilience are safeguarded by federated custodianship.

1. Purpose

The purpose of CDL1320 DAO is to:

  • Steward the land and spirit of Ciudad de Luz 13:20.

  • Distribute and manage CDLC, CDLP, and CDLT tokens as vehicles for conservation, development, and time-based reciprocity.

  • Govern collectively all community decisions affecting development, conservation, economics, education, and cultural preservation.

  • Ensure the long-term sustainability, sovereignty, and alignment of all initiatives with Natural Law and spiritual harmony.

2. Membership
2.1 Token Holders

DAO membership is tiered according to token type:

  • CDLP holders (≥0.5 ha equivalent): Full DAO members with voting rights.

  • CDLC holders: Conservation members who support regeneration and receive perks but do not hold governance votes.

  • CDLT holders: Community currency participants, valued for service contributions but not voting in DAO decisions.

2.2 Roles
  • Pioneers (8–12 members): First council, committing 260 days to establish the foundation, culture, and initial Fedimint guardianship.

  • Council of 40 Families: Expansion to a multigenerational council focused on stability, education, and community life.

  • Expansion Community (500–1500): Future members integrated through DAO consensus and ecological capacity.

  • Guardians: A rotating group of 7 members tasked with ethical, spiritual, and operational oversight.

2.3 Onboarding

New members must:

  • Acknowledge and accept this Constitution.

  • Submit a wallet address.

  • Optionally nominate a backup/recovery guardian.

3. Governance Process
3.1 Decision-Making
  • Proposals may be submitted by any CDLP member holding ≥50 tokens.

  • Proposals remain live for 7 days minimum.

  • A quorum of 10% of eligible votes is required.

  • A 60% majority is required for passage, unless otherwise stated.

3.2 Proposal Types
  • Land use and development permissions

  • Budget allocations

  • DAO partnerships

  • Token policy updates

  • Expansion and membership approvals

  • Emergency recovery measures

3.3 Voting Mechanism
  • Voting occurs on decentralized platforms integrated with the DAO.

  • Weighting is proportional to CDLP holdings.

  • CDLC and CDLT holders may participate in forums and proposals but hold no binding vote.

4. Treasury Management
4.1 DAO Control & Fedimint Execution
  • The DAO governs the treasury through proposals and voting.

  • Fedimint Guardians act as the executive layer, carrying out treasury actions (minting, burning, disbursements) strictly according to DAO-approved instructions.

4.2 Budgeting
  • All major expenses must be proposed and voted on.

  • Operating budgets may be pre-approved quarterly.

4.3 Transparency
  • Monthly public reports on income, expenses, and reserve status.

  • Yearly audit by a DAO-approved reviewer.

5. Token Policy
5.1 Token Types & Supply
  • CDLC (Conservation Token): Fixed supply of 1,050,000, 1:1 backed by m² of conservation land.

  • CDLP (Pioneer Token): Fixed supply of 45,000, each representing 10 m² of development land.

  • CDLT (Time Bank Token): Dynamic supply, 1 token = 1 hour of service, issued as contributions occur.

5.2 Allocation
  • CDLC primarily allocated to conservation investors and treasury reserves.

  • CDLP allocated to Pioneers, Residents, and DAO Treasury for development.

  • CDLT earned by community members through service and labor.

5.3 Conversion
  • CDLP ↔ CDLC conversion requires DAO approval + Fedimint execution.

  • CDLT is non-convertible into land tokens but redeemable for products, services, and access.

5.4 Use Cases
  • CDLC: Conservation value, ecosystem credits, recognition perks.

  • CDLP: DAO governance, development rights, settlement participation.

  • CDLT: Local reciprocity currency, access to services, community engagement.

6. Ethical & Spiritual Oversight
6.1 Guardian Council

A 7-member Council of Guardians is elected every 2 years. Their role is to:

  • Hold the DAO to its spiritual mission.

  • Intervene in cases of ethical violation or mission drift.

  • Serve as neutral facilitators during DAO conflict.

6.2 Conflict Resolution
  • Minor conflicts are mediated by a circle of peers.

  • Major issues may be escalated to the Guardians, who may initiate a binding proposal.'

7. Amendments

This Constitution may be amended with a 75% majority vote and a 20% quorum of CDLP holders.
